Acceptance

This agreement is entered into by and between the individual accessing or using Sites operated by IEM International, Inc. and its subsidiaries and affiliates (collectively, “IEM,” “we,” “us,” or “our”), including any content, functionality, and services offered on or through the Sites, or the company or other legal entity on behalf of which such individual is accessing or using the Sites (“you” or “your”) and IEM. “Sites” include websites owned and operated by IEM, our social media activities on LinkedIn, Twitter, Facebook, and YouTube, our official blogs, and other activities and sources.

These terms and conditions and any documents they expressly incorporate by reference (collectively, “Terms”) govern your access to and use of the Sites. Please read these Terms carefully before you use the Sites. By accessing or using the Sites in any manner or by clicking or tapping to accept or agree to these Terms when this option is made available, you acknowledge that you have read, accepted, and agreed to be bound by these Terms. If You do not want to agree to all these Terms, you are not authorized to access or otherwise use the Sites.

The Sites are offered and available to individuals 18 or older. By accessing or using the Sites, you represent and warrant that you are 18 or older. If you are not 18 or older, you must not access or use the Sites.

Access and Security

We reserve the right to withdraw or amend any of the Sites and any service or material we provide on any of the Sites, temporarily or permanently, at our sole discretion without notice. We are not liable if, for any reason, all or any part of the Sites are unavailable at any time or for any period. From time to time, we may restrict access to the Sites.

You are responsible for making all arrangements necessary for you to have access to the Sites and ensuring that all persons who access them through your Internet connection are aware of these Terms and comply with them.

You may be asked to provide specific registration details or other information to access the Sites or their available resources. It is a condition of your use of the Sites that all the information you provide on the Sites is correct, current, and complete. You agree that all information you provide to register with the Sites or otherwise, including without limitation through the use of any interactive features on the Sites, is governed by our privacy policy. Consistent with our privacy policy, you consent to all our actions concerning your information.

Access to and use of password-protected and secure areas of the Sites is restricted to authorized users only. Unauthorized access to such areas is prohibited and may lead to criminal prosecution. If you choose or are provided with a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Sites or portions of it using your username, password, or additional security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other security breach. You also agree to ensure that you exit your account at the end of each session. We have the right to turn off any username, password, or other identifiers, whether chosen by you or provided by us, at any time at our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

Trademarks and Other Intellectual Property Rights

“IEM,” “P3A,” “QEM,” “One Doc One Knock,” “WebPuff,” “HRIQ,” “Home Recovery IQ,” “Grantwise,” “RentAssistIQ,” “ConnectEOC,” “IEM Unscripted,” “Disastersmiths,” “I Think ∴ IEM,” the IEM logo, the One Doc One Knock logo, the ConnectEOC logo, the Grantwise logo, the RentAssistIQ logo, the Disastersmiths logo, and all related names, logos, product and service names, designs, and slogans are trademarks of IEM. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Sites are the trademarks of their respective owners.

The Sites and their entire contents, features, and functionality (including without limitation all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by IEM, its licensors, or other providers of such material. United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws protect them. We may use copyrighted material that the copyright owner has not explicitly authorized. We make such material available for criticism, comment, news reporting, teaching, scholarship, or research and believe this constitutes a fair use of copyrighted material as provided in law.

These Terms allow you to use the Sites only for personal, noncommercial use. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Sites, except: (a) your computer may temporarily store copies of such materials in memory incidental to your accessing and viewing those materials; (b) you may store files that are automatically cached by your browser for display enhancement purposes; (c) you may print or download one copy of a reasonable number of pages of the Sites for your own personal, noncommercial use and not for further reproduction, publication, or distribution; (d) if we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, noncommercial use, provided you agree to be bound by our end user license agreement for such applications; and (e) if we provide social media features with certain content, you may take such actions as are enabled by such features.

You may not: (a) modify copies of any materials from the Sites; (b) use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text; (c) use, transfer, copy, or distribute any personally identifiable information for personal use other than in compliance with the law; (d) use the Sites in any manner to harass, abuse, stalk, threaten, defame, or otherwise infringe or violate the rights of any other party; (e) delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Sites; or (f) access or use for any commercial purposes any part of the Sites or any services or materials available through the Sites.

If you wish to use material on the Sites other than that set out in this section, please address your request to iem@iem.com. If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Sites in breach of these Terms, your right to use the Sites stops immediately. You must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Sites or any content on the Sites is transferred to you, and IEM reserves all rights not expressly granted. Any use of the Sites not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

Prohibited Uses

You may use the Sites only for lawful purposes and following these Terms. You agree not to use the Sites: (a) in any way that violates any applicable federal, state, local, or international law or regulation (including without limitation any laws regarding the export of data or software to and from the United States or other countries); (b) to exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise; (c) to send, knowingly receive, upload, download, use, or reuse any material that does not comply with these Terms; (d) to send, or procure the sending of, any advertising or promotional material without our prior written consent, including any junk mail, chain letter, spam, or any other similar solicitation; (e) to impersonate or attempt to impersonate IEM, an IEM employee, another user, or any other person or entity (including without limitation by using email addresses or usernames associated with any of the foregoing); or (f) to engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Sites, or which, as determined by us, may harm IEM or users of the Sites, or expose them to liability.

Additionally, you agree not to: (a) use the Sites in any manner that could disable, overburden, damage, or impair the Sites or interfere with any other party’s use of the Sites, including their ability to engage in real time activities through the Sites; (b) use any robot, spider, or other automatic device, process, or means to access the Sites for any purpose, including monitoring or copying any of the material on the Sites; (c) use any manual process to monitor or copy any of the material on the Sites, or for any other purpose not expressly authorized in these Terms, without our prior written consent; (d) use any device, software, or routine that interferes with the proper working of the Sites; (e) introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; (f) attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Sites, the servers on which the Sites are stored, or any server, computer, or database connected to the Sites; (g) attack the Sites via a denial of service attack or a distributed denial of service attack; or (h) otherwise attempt to interfere with the proper working of the Sites.

User Contributions

The Sites may contain message boards, chat rooms, personal pages/profiles, forums, bulletin boards, and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display, or transmit to other users or other persons content or materials (collectively, “User Contributions”) on or through the Sites. User Contributions may contain views and opinions that do not necessarily reflect the official policy or position of IEM.

All User Contributions must comply with the content standards specified in these Terms. Any User Contribution you post, submit, publish, display, or transmit is considered non-confidential and non-proprietary. By providing any User Contribution on the Sites, you grant us and our service providers, and each of their and our respective licensees, successors, and assigns, the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You represent and warrant that: (a) you own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns; and (b) all your User Contributions comply with these Terms.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute. You, not IEM, are responsible for such content, including its legality, reliability, accuracy, completeness, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Sites.

Monitoring, Enforcement, and Termination

We have the right to:

  • Remove or refuse to post any User Contributions for any or no reason at our sole discretion.
  • Take any action concerning any User Contribution that we deem necessary or appropriate at our sole discretion, including if we believe that such User Contribution violates these Terms, infringes any intellectual property right or another right of any person or entity, threatens the personal safety of users of the Sites or the public, or could create liability for us.
  • Disclose your identity or other information about you to any third party who claims that the material you post violates their rights, including their intellectual property rights or their right to privacy.
  • Take appropriate legal action, including without limitation referral to law enforcement, for any illegal or unauthorized use of the Sites.
  • Terminate or suspend your access to all or part of the Sites for any or no reason, including without limitation any violation of these Terms.

Without limiting the preceding, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Sites. YOU WAIVE AND HOLD HARMLESS IEM AND ITS LICENSEES AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE PRECEDING PARTIES DURING OR TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we cannot and do not undertake to review material before it is posted on the Sites and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. WE HAVE NO LIABILITY OR RESPONSIBILITY TO ANYONE FOR THE PERFORMANCE OR NONPERFORMANCE OF THE ACTIVITIES DESCRIBED IN THIS SECTION.

Content Standards

These content standards apply to all User Contributions and use of Interactive Services. User Contributions must, in their entirety, comply with all applicable federal, state, local, and international laws and regulations. Without limiting the preceding, User Contributions must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, age, or other legally protected characteristics.
  • Infringe any patent, trademark, trade secret, copyright, intellectual property, or other rights of any other person.
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may conflict with these Terms.
  • Be likely to deceive any person.
  • Promote any illegal activity or advocate, promote, or assist any unlawful act.
  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
  • Impersonate any person or misrepresent your identity or affiliation with any person or organization.
  • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
  • Give the impression that they emanate from or are endorsed by us or any other person or entity if this is not the case.

Reliance on Information Posted

The information presented on or through the Sites is available solely for general information. WE DO NOT WARRANT OR GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF THIS INFORMATION AND ASSUME NO RESPONSIBILITY FOR ERRORS OR OMISSIONS IN THE INFORMATION. Any reliance you place on such information is at your own risk. We deny all liability and responsibility arising from any reliance placed on such information by you or any other visitor to the Sites or anyone who may be informed of its contents.

IEM does not render legal, accounting, tax, or similar professional advice. As such, the information presented on or through the Sites should not be used as a substitute for consultation with professional accounting and tax, legal, or other competent advisers.

The Sites’ health information is not intended to diagnose, treat, cure, or prevent disease. The Sites’ health information is not comprehensive and does not cover all diseases, ailments, physical conditions, or their treatment.

Third-party Content, Sites, and Services

The Sites may display, include, or make available content, data, information, applications, or materials from third parties or provide links to certain third-party websites. Third-party materials and links to other websites are provided solely as a convenience to you. YOU ACKNOWLEDGE AND AGREE THAT WE ARE NOT RESPONSIBLE FOR EXAMINING OR EVALUATING THE CONTENT, ACCURACY, COMPLETENESS, TIMELINESS, VALIDITY, COPYRIGHT COMPLIANCE, LEGALITY, DECENCY, QUALITY, OR ANY OTHER ASPECT OF SUCH THIRD-PARTY MATERIALS OR WEBSITES. WE DO NOT WARRANT OR ENDORSE AND DO NOT ASSUME AND DO NOT HAVE ANY LIABILITY OR RESPONSIBILITY TO YOU OR ANY OTHER PERSON FOR ANY THIRD-PARTY CONTENT, WEBSITES, SERVICES, OR ANY OTHER MATERIALS, PRODUCTS, OR SERVICES OF THIRD PARTIES. YOU ALSO AGREE THAT ANY THIRD-PARTY CHARGES NECESSARY TO USE THE WEBSITES, SUCH AS INTERNET CHARGES AND SERVICE PROVIDER CHARGES, ARE YOUR RESPONSIBILITY AND NOT THAT OF IEM. You understand that by using any third-party websites or services, you may encounter content that may be deemed offensive, indecent, or objectionable, which content may or may not be identified as having explicit language, and that the results of any search or entering of a particular URL may automatically and unintentionally generate links or references to objectionable material.

Nevertheless, you agree to use such services at your sole risk, and we do not have any liability to you for content that may be found to be offensive, indecent, or objectionable. IEM DOES NOT ENDORSE, WARRANT, OR GUARANTEE ANY PRODUCT, INFORMATION, OR SERVICE OFFERED BY A THIRD PARTY THROUGH THE WEBSITES AND IS NOT A PARTY TO OR IN ANY WAY MONITORS ANY TRANSACTION BETWEEN ANY USER OF THE WEBSITES AND ANY SUCH THIRD-PARTY PROVIDER. ALL STATEMENTS AND OPINIONS EXPRESSED IN THIRD-PARTY CONTENT, WEBSITES, OR SERVICES, OR FOR ANY OTHER MATERIALS, PRODUCTS, OR SERVICES OF THIRD PARTIES ARE SOLELY THE OPINIONS AND THE RESPONSIBILITY OF THE PROVIDING PERSON. Transmission of Data

You acknowledge that others could read or intercept transmissions to and from the Sites. You acknowledge that by submitting communications through the Sites, no confidential, fiduciary, contractually implied, or other relationship is created between you and IEM other than according to these Terms. The Sites are hosted in the United States. Data you transmit through the Sites may be accessed and processed by IEM, its affiliates, or its trusted third-party licensors and vendors within or outside the United States. As a result, your data may be subject to the laws of such jurisdictions. They may be accessible to the courts and law enforcement authorities in the United States or other jurisdictions.

Changes to Sites

We may update the content on the Sites occasionally, but its content is not necessarily complete or up to date. Any material on the Sites may be outdated at any given time, and we are not obligated to update such material.

Privacy

All information we collect on the Sites is subject to our privacy policy. By using the Sites, you consent to all our actions concerning your information in compliance with our privacy policy.

Linking to the Sites and Social Media Features

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent.

The Sites may provide certain social media features that enable you to link from your own or certain third-party websites to certain content on the Sites, send emails or other communications with certain content or links to specific content on the Sites, or cause limited portions of content on the Sites to be displayed or appear to be displayed on your own or certain third-party websites.

You may use these features solely as we provide, concerning the content they are displayed with, and otherwise following any additional terms and conditions we provide concerning such features. Subject to the preceding, you must not establish a link from any website that you do not own, cause the Sites or portions of it to be displayed on, or appear to be displayed by any other website, link to any part of the Sites other than the homepage, or otherwise take any action concerning the materials on the Sites that is inconsistent with any other provision of these Terms.

The website from which you are linking or on which you make certain content accessible must comply in all respects with content standards specified in these Terms. You agree to cooperate with us in causing any unauthorized framing or linking immediately to stop. We reserve the right to withdraw linking permission without notice.

If the Sites contain links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. WE HAVE NO CONTROL OVER THE CONTENTS OF THOSE SITES OR RESOURCES AND ACCEPT NO RESPONSIBILITY FOR THEM OR ANY LOSS OR DAMAGE THAT MAY ARISE FROM YOUR USE OF THEM. Geographic Restrictions

The Sites’ owner is based in the United States. We provide the Sites for use only by persons in the United States. We make no claims that the Sites or any of its content is accessible or appropriate outside the United States. Access to the Sites may not be legal for certain persons or countries. If you access the Sites from outside the United States, you do so on your initiative. You are responsible for compliance with local laws.

Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL IEM, ITS LICENSORS AND SERVICE PROVIDERS, AND ITS AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUPPLIERS, SUCCESSORS, AND ASSIGNS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE PRECEDING, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. Indemnification

You agree to defend, indemnify, and hold harmless IEM, its licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Sites, including without limitation your User Contributions, any use of the Sites’ content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Sites.

Reporting Claims of Copyright Infringement

We take claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any materials accessible on or from the Sites infringe your copyright, you may request the removal of those materials (or access to them) by submitting a written notification to our copyright agent designated below. Under the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act (17 U.S.C. § 512) (“DMCA”), the written notice (the “DMCA Notice”) must include substantially the following:

  • Your physical or electronic signature.

If you fail to comply with all of the requirements of Section 512(c)(3) of the DMCA, your DMCA Notice may not be effective.

If you knowingly misrepresent that material or activity on the Website infringes your copyright, you may be liable for damages (including costs and legal fees) under the DMCA.

Unsolicited Idea Submission

IEM and its employees do not accept or consider unsolicited ideas, suggestions, proposals, comments, or materials, including for new or improved products, services, or technologies, product or service enhancements, processes, advertising campaigns, promotions, marketing plans, or new product or service names (collectively, “Submissions”). To avoid potential misunderstandings or disputes when IEM’s products, services, marketing, or other projects might seem similar to any Submissions made to IEM, Submissions in any form should not be submitted to IEM or any of its employees.

If ideas are submitted to IEM, the following terms shall apply to Submissions, regardless of the communication method.

  • IEM will consider the Submissions to be non-confidential and non-proprietary.
  • IEM may use, copy, redistribute, and disclose the Submissions for any purpose without compensation to any person or entity.
  • IEM will have no obligations concerning the Submissions, including no obligation to review, return any materials, or acknowledge receipt.

Governing Law and Jurisdiction

All matters relating to the Sites and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), are governed by and construed following the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Sites must be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware. However, we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive all objections to the exercise of authority over you by such courts and the venue in such courts.

Arbitration

At our sole discretion, we may require you to submit any disputes arising from these Terms or use of the Sites, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Delaware law.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITES MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Changes

We reserve the right to change these Terms at our sole discretion. Changes are effective immediately when we post them and apply to all access and use of the Sites after that. However, any changes to the dispute resolution provisions do not apply to any disputes for which the parties have actual notice before the date the change is posted on the Sites. After posting the changed Terms, your continued use of the Sites means you accept and agree to the changes. You are expected to check this page each time you access the Sites to be aware of any changes, as they are binding on you.

Waiver and Severability

No waiver by IEM of any term or condition set out in these Terms is deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of IEM to assert a right or provision under these Terms does not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision is eliminated or limited to the minimum extent such that the remaining provisions continue in full force and effect.

Entire Agreement

These Terms, our privacy policy, and any additional terms and conditions you accept constitute the sole and entire agreement between you and IEM regarding the Sites and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, written and oral, regarding the Sites.
